for services offered by DG Sound Company
Effective from July 8, 2026
§1 Acceptance
1.1. By using the services of DG SOUND, the client agrees to comply with these Terms and Conditions. Acceptance occurs through:
a) written confirmation via email, SMS, or instant messenger,
b) checking the „I accept” box in the booking form,
c) payment of a deposit, advance payment, or the full invoice amount,
d) allowing the contractor to perform the service on-site (in the case of live events).
1.2. A one-time acceptance of these Terms and Conditions constitutes a framework agreement. This means that the regulations in their current version apply to all subsequent orders placed by the Client, without the need for re-acceptance, unless the parties enter into a separate written agreement.
1.3. Any amendments to these terms must be agreed upon in writing.
§2 Client Responsibility & Copyright
2.1. The Client confirms that they own or control all necessary rights to the materials provided to DG SOUND.
2.2. The Client guarantees that no provided material infringes upon copyrights, is illegal, obscene, or defamatory, and undertakes to indemnify and hold DG SOUND harmless from any claims, losses, or legal costs resulting from a breach of this section.
§3 Services Overview
3.1. Music Production
3.1.1. DG SOUND may provide arrangement, programming, composing, or recording services.
3.1.2. Typical turnaround time is 7–8 business days per track, unless agreed otherwise.
3.1.3. Payment: 50% non-refundable deposit before the start of work, 50% before delivery of the final file.
3.1.4. Refunds and Cancellations: The paid 50% deposit secures the schedule and production time and, in accordance with the law, is non-refundable if the Client cancels after work has commenced. If both parties agree to terminate the project prior to its completion, the client is not obliged to pay the remaining 50%. All work completed up to that point remains the property of DG SOUND, unless agreed otherwise.
3.1.5. Delays in communication, feedback, or materials from the client may extend the schedule. A production project cannot exceed 2 months from the start date, unless agreed otherwise in writing.
3.1.6. File Delivery: In projects involving music production only, DG SOUND delivers all produced tracks before mixing. In Production + Mix & Mastering bundles, DG SOUND delivers the main master (min. 24-bit, 44.1 kHz), as well as instrumental and acapella versions.
3.2. Audio Engineering (Mix & Master)
3.2.1. Services include mixing, mastering, and audio editing.
3.2.2. Full payment is required before work commences.
3.2.3. The price includes 3 free revisions (minor changes only). Additional revisions (beyond 3) are charged at 40 USD (or equivalent in another currency) each.
3.2.4. Revision notes must be submitted within 7 days of file delivery. Lack of response within 30 days constitutes final acceptance of the latest version.
3.2.5. The total execution time of the project cannot exceed 2 months from the delivery of the first mix. After this time, and upon prior notification to the Client, the project may be closed, and reopening it may incur additional fees.
3.2.6. File Delivery: DG SOUND delivers mixed or mastered files in the highest quality (min. 24-bit, 44.1 kHz). Upon request, files can also be shared as stems, including instrumental and acapella versions.
3.3. Recording Sessions
3.3.1. Services include live recording, multitrack capturing, and on-site audio engineering.
3.3.2. A 50% non-refundable deposit is required to book a date. The session is officially reserved only upon receipt of this deposit.
3.3.3. The invoice for the remaining amount will be issued immediately after the session, with a 7-day payment term. Full payment must be made before the delivery of any recorded files, unless agreed otherwise in writing.
3.3.4. All DG SOUND recordings may not be shared with third parties without prior written consent. Unauthorized distribution constitutes a material breach of contract and copyright infringement.
3.3.5. File Delivery and Take Selection: DG SOUND delivers all recorded files in the agreed format. Take selection is at the sole discretion of DG SOUND based on professional experience. Clients may select takes independently only if they have direct access to the session, and all choices must fall within the agreed project timeline.
3.4. Live Sound Engineering (Live) and Equipment Rental
3.4.1. Scope: DG SOUND provides live sound engineering services (FOH/MON) and professional equipment rental at designated locations.
3.4.2. Safety and Working Conditions: The Client has an absolute obligation to provide a workstation that meets health and safety requirements and stage industry standards. For outdoor events, the organizer/client must provide a stable, covered workstation protected from rain, wind, and direct sunlight.
3.4.3. Structural Security: FOH/MON tents must be professionally weighted and anchored appropriately for the prevailing weather conditions (standard ground stakes/pegs are not considered sufficient protection against wind). The Client bears full responsibility for the stability and safety of the infrastructure.
3.4.4. Equipment Liability: In the event of flooding, destruction, damage, or theft of equipment owned by DG SOUND (e.g., laptops, mixers, controllers, interfaces, microphones) due to improper securing of the workstation, a faulty electrical installation provided by the organizer, or the effects of weather conditions on an improperly secured workstation, the Client bears full material liability. The Client undertakes to cover the costs of repairing the equipment at an authorized service center or to refund its market value in the case of a total loss.
3.4.5. Right to Refuse Work: In the event of conditions threatening health, life, or the safety of electronic equipment (e.g., water at the FOH position, lack of grounding, extreme weather conditions in the absence of proper coverage), DG SOUND reserves the right to halt work without losing the right to full remuneration.
3.4.6. Order Cancellation and Compensation for Lost Dates (Kill Fee):
a) In B2B relationships (contracts with business entities): cancellation of a confirmed live sound engineering (Live) order by the Client entails the following contractual penalty fees: cancellation 14 to 8 days before the event – 50% of the agreed fee; cancellation 7 days or less before the event – 100% of the agreed fee. These fees constitute compensation for blocking the calendar and the loss of opportunity to accept other orders.
b) In B2C relationships (contracts with consumers): in the event of a consumer’s cancellation, DG SOUND reserves the right to retain the paid deposit to cover costs associated with booking the date and preparation for the service. In the event of a cancellation less than 7 days before the event, the consumer may be liable for costs actually incurred by DG SOUND in preparation for the specific project (e.g., equipment rental, transport costs), provided that such costs are documented and proven.
3.4.7. Rental Terms: Detailed terms for equipment rental are determined individually for each event.
3.4.8. Artistic Performance: DG SOUND is responsible for the technical quality of sound engineering (signal clarity, volume, balance, equipment efficiency). DG SOUND does not accept responsibility for the artistic level of performers, their technical skills, or errors in their performance that directly impact the final sound.
§4 File Delivery & Technical Requirements
4.1. All final files are delivered in the agreed format (usually 24-bit WAV, minimum 44.1 kHz).
4.2. The client should provide clearly labeled and organized audio files; DG SOUND may create its own labeling and session organization if necessary.
4.3. Audio files must not be clipped or distorted, unless it is an intentional creative effect.
4.4. MIDI tracks must be exported as audio before mixing.
4.5. Final approval is required before production or distribution. Any changes after approval will be treated as a new, paid service.
4.6. DG SOUND stores archival copies of recorded and delivered materials on secure servers, but long-term storage is not guaranteed. Clients should safely archive their own files. Restoring a session after project completion may incur an administrative fee.
4.7. Mix & Master File Delivery: For Mix + Mastering or Mastering-only services, the client will receive masters in the following formats: Streaming (48kHz 24bit), CD (44.1kHz 16bit), Radio (48kHz 16bit), YouTube Music Video (48kHz 16bit), Vinyl Master (48kHz 24bit), DDPi (upon request).
4.8. Additionally delivered (where applicable): Instrumental, Backing Track (TV Master – without limiter), Acapella (without limiter).
4.9. All files are delivered in the highest quality (min. 24-bit, 44.1 kHz), unless agreed otherwise.
4.10. Delivery of DDP files for CDs requires the timely provision of all necessary metadata (e.g., official track/album titles, artist names, ISRC codes, UPC/EAN codes) and an explicit request for DDP preparation.
§5 Workflow & Delays
5.1. Excessive delays in communication from the Client, conflicting feedback, repeated changes in artistic direction, or failure to deliver materials may result in a schedule extension, temporary suspension of the project, or its termination with an obligation to pay for the work performed to date.
5.2. Projects cannot remain open indefinitely. DG SOUND reserves the right to close a project after a maximum period of 2 months from the last activity if the client fails to provide feedback or materials on time, following a prior request to deliver them.
§6 Payment Terms
6.1. Payments are made by bank transfer based on the issued invoice, unless agreed otherwise.
6.2. The client covers all international bank transfer fees. Additional costs (e.g., external studio rental, session musicians) are borne by the client.
6.3. Pricing and Immutability of Rates: Basic prices for DG SOUND services are specified in the price list available on the website; however, depending on the specificity and scale of the order, final amounts may be subject to individual agreements. The remuneration amount agreed upon before the start of work (via email, phone, SMS, or in person) is final and binding. In the case of booking a package or a series of events (e.g., a concert tour, a series of outdoor events), the agreed rate for a single event applies throughout the entire duration of the contract. The Client has no right to unilaterally reduce the agreed rate during the cycle. Any attempt to force a lower rate and the resulting cancellation of subsequent events is treated as an order cancellation, which is subject to the contractual penalties described in section 3.4.6.
6.4. If the client has previously shown delays in payments, DG SOUND may require full advance payment before commencing a new project or order.
§7 Credits
7.1. On every CD, vinyl, digital release, or YouTube video where DG SOUND recorded, produced, mixed, or mastered the project, appropriate credits must be placed.
7.2. Required format: Recorded / Produced / Mixed / Mastered (depending on the services performed) by Dominik Gremlowski – DG SOUND – www.dg-sound.com
7.3. On streaming platforms (e.g., Spotify, Apple Music), the following roles must be assigned to the tracks (depending on the service):
a) Music Producer
b) Recording Engineer
c) Mixing Engineer
d) Mastering Engineer
7.4. Failure to provide proper credit constitutes a breach of these terms and conditions and the creator's copyright.
§8 Confidentiality
8.1. All prices, session arrangements, special discounts, and project agreements between DG SOUND and the client are strictly confidential and may not be shared with third parties without express written consent.
8.2. Project materials and business terms remain a trade secret of both parties.
§9 Force Majeure & Liability
9.1. DG SOUND is not liable for any failure or delay in performance caused by so-called force majeure (circumstances beyond reasonable control, such as sudden illness, venue infrastructure failure, power outages, extreme natural disasters). For outdoor events, typical, predictable weather conditions for the given season (e.g., summer storms, wind, or downpours) are not considered force majeure.
9.2. For contracts concluded with Clients who are entrepreneurs (B2B relationship), DG SOUND's financial liability for errors in the performance of the service is limited to the total amount paid for the given order, and DG SOUND is not liable for indirect damages or lost profits of the client. This limitation in no way excludes the Client's material liability to DG SOUND for the destruction of provided work equipment (as described in section 3.4.4).
9.3. In the event that DG SOUND is unable to fulfill the order due to unforeseen circumstances (e.g., sudden illness, accident), it undertakes to notify the Client immediately. In such a case, DG SOUND's liability is limited exclusively to the refund of the paid deposit/advance, and DG SOUND is not liable for any further financial losses or lost profits of the Client.
(Note: For consumers, DG SOUND's liability is governed by generally applicable laws).
§10 Late Payments & Abandoned Projects
10.1. Delivery of final files may be withheld until full payment is received.
10.2. Statutory interest for delay will be charged on overdue invoices.
10.3. Studio projects without communication or delivery of required materials from the client for more than 30 days may be deemed abandoned.
10.4. Fees and deposits already paid are non-refundable if the work has been commenced or completed to any extent.
